Introduction & Acceptance of Terms

Welcome to Green Bike Sale (“Company,” “we,” “us,” or “our”). By accessing our website located at www.greenbikesale.com (the “Site”), engaging with our sales team, or completing a purchase transaction, you (“Buyer,” “you,” or “your”) agree to be bound by these Terms and Conditions of Sale (the “Terms”).

PLEASE READ THESE TERMS CAREFULLY BEFORE PLACING AN ORDER. These Terms constitute a legally binding agreement between you and Green Bike Sale LLC. If you do not agree to these Terms in their entirety, you must not use this Site or purchase any products from us.

We reserve the right to modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting to the Site. Your continued use of the Site or placement of an order following the posting of revised Terms constitutes your acceptance of such changes.


Definitions

For the purposes of these Terms, the following definitions apply:

  • “Motorcycle” or “Vehicle” : The new, untitled motorcycle, including all factory-installed components and accessories as described in the listing.

  • “MSO” : Manufacturer’s Statement of Origin. The official document issued by the manufacturer (Honda, Yamaha, Kawasaki, BMW, KTM, Ducati, Triumph, Royal Enfield, Harley-Davidson, or others) certifying the vehicle is new and has never been titled or registered.

  • “Purchase Order” or “PO” : The final, itemized document outlining the Vehicle price, fees, shipping costs, and total amount due.

  • “Bill of Lading” or “BOL” : The legal transport document issued by the freight carrier acknowledging receipt of the Vehicle and governing the terms of carriage.

  • “Incoterms” : International Commercial Terms published by the International Chamber of Commerce defining the responsibilities of sellers and buyers for the delivery of goods.


Eligibility to Purchase

By placing an order with Green Bike Sale, you represent and warrant that:

  1. You are at least 18 years of age and possess the legal capacity to enter into a binding contract.

  2. You are purchasing the Vehicle for your own personal use or as a legitimate gift, and not for the purpose of immediate resale, export in violation of U.S. law, or any fraudulent activity.

  3. You have a valid government-issued photo identification.

  4. You have a physical street address capable of receiving large freight deliveries (no P.O. Boxes).

  5. If purchasing for international export, you are responsible for compliance with all import laws of the destination country.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including but not limited to situations involving pricing errors, suspected fraud, or violation of these Terms.

 

Product Information & Pricing

Accuracy of Listings

We make every effort to display accurate vehicle specifications, colors, model years, and pricing. However, due to the dynamic nature of manufacturer inventory and the potential for human or technical error, we do not warrant that product descriptions, images, or pricing are 100% accurate, complete, reliable, current, or error-free.

Pricing Errors

In the event a Motorcycle is listed at an incorrect price due to a typographical error, system malfunction, or erroneous data feed from a supplier, Green Bike Sale reserves the right to refuse or cancel any orders placed for the Motorcycle listed at the incorrect price, regardless of whether the order has been confirmed and payment has been processed. If payment has been received for a canceled order due to a pricing error, we will issue a full refund to the original method of payment.

Model Year Designation

Motorcycles are sold based on the Manufacturer’s Model Year designation (e.g., “2024 Kawasaki Ninja 400”), not the calendar year of purchase. It is common for prior model-year vehicles to be sold well into the subsequent calendar year.

California Proposition 65 Warning

For California Residents: Certain motorcycles and components sold on this Site may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. For more information, visit www.P65Warnings.ca.gov.


Order Process & Formation of Contract

Step 1: Inquiry or Online Order

Submitting an inquiry or placing an item in your cart does not constitute a binding contract or guarantee availability. A Vehicle is considered “Available” until a deposit or full payment is received and confirmed.

Step 2: Deposit & Purchase Order

To secure a specific VIN, a non-refundable deposit of $500 (or an amount specified on the listing) is required. Upon receipt of the deposit, we will issue a formal Purchase Order (PO) detailing the final price, fees, and shipping terms. The PO is an offer to purchase under the specific terms listed.

Step 3: Final Payment

Full payment must be received and cleared by our financial institution within three (3) business days of PO issuance, unless other financing arrangements have been approved in writing.

Step 4: Acceptance

A binding contract is formed only when full payment has cleared our account and we have issued a written Order Confirmation email.


Payment Terms 

Accepted Payment Methods

We accept the following forms of payment for final balances:

  • Cryptocurrency (Fastest Processing and Preferred): Qualifies for additional 7% discount

  • Wire Transfer: Buyer is responsible for any outgoing wire fees charged by their bank.
  • Credit Card: Visa, Mastercard, American Express, and Discover are accepted for Deposits Only (up to $2,500) . Full payment by credit card is subject to a 3% convenience fee.

Unpaid Balances

Failure to remit full payment within the agreed timeframe may result in cancellation of the order and forfeiture of the deposit as liquidated damages for administrative and opportunity costs incurred.


Financing Terms

We do NOT offer financing.

Title and Ownership

Manufacturer’s Statement of Origin (MSO)

Upon full payment clearance, Green Bike Sale will execute the Manufacturer’s Statement of Origin (MSO) in the Buyer’s name exactly as provided on the Purchase Order. The MSO will be sent via FedEx Overnight to the shipping address on file or included in the crate with the Vehicle (Buyer’s choice).

Transfer of Title

Legal title and ownership of the Vehicle transfer to the Buyer upon execution of the MSO by Green Bike Sale. This occurs prior to shipment.

Liens

If financing is used, the lender will be listed as the Lienholder on the MSO and/or subsequent state-issued title. The Buyer is responsible for providing accurate Lienholder information.


Risk of Loss, Shipping & Delivery

Risk of Loss (FOB Origin)

THIS IS A CRITICAL PROVISION. PLEASE READ CAREFULLY.

All Vehicle shipments, both Domestic and International, are sold F.O.B. Origin (Free On Board – Shipping Point) unless otherwise explicitly stated in writing on the Purchase Order. This means:

  • Risk of loss or damage to the Vehicle passes from Green Bike Sale to the Buyer the moment the freight carrier takes possession of the Vehicle at our logistics hub.

  • Green Bike Sale is not liable for any damage, delay, or loss that occurs during transit.

  • The Buyer is responsible for purchasing adequate freight insurance and filing any claims for damage or loss directly with the freight carrier.

Delivery Inspection (Critical)

FAILURE TO INSPECT THE SHIPMENT AT THE TIME OF DELIVERY CONSTITUTES A WAIVER OF ANY CLAIM FOR FREIGHT DAMAGE.

Upon delivery, the Buyer (or their authorized agent) MUST:

  1. Inspect the Crate/Packaging: Look for punctures, crushing, or leaning.

  2. If Damage is Visible: DO NOT REFUSE THE SHIPMENT. Write a detailed description of the damage on the Bill of Lading (BOL) before signing. Example: “Subject to Inspection – Crate Punctured Left Side.”

  3. Photograph: Take clear photos of the crate on the truck and the damaged area.

If the Buyer signs the BOL “Clear” or “Free of Damage,” the carrier is legally released from liability, and Green Bike Sale cannot assist in any freight claim recovery.

Shipping Delays

Estimated delivery dates are estimates only. Green Bike Sale is not responsible for delays caused by carrier capacity issues, weather, port congestion, customs holds, strikes, or acts of God.

International Export & Import Compliance

For International Buyers:

  • Exporter of Record: Green Bike Sale is the U.S. Exporter of Record only for the purpose of clearing the Vehicle for export from the United States.

  • Importer of Record: The Buyer is the sole Importer of Record in the destination country. The Buyer is solely responsible for compliance with all import laws, payment of all customs duties, tariffs, VAT/GST, port fees, storage fees, quarantine inspection fees, and any modifications required to meet local homologation standards.

  • Warranty Validity: Manufacturer warranties are valid only in the country of original sale (United States) unless otherwise specified by the manufacturer’s global warranty policy.

  • Export Restrictions: Buyer certifies that they are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or trade sanctions (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine).


Vehicle Condition, Assembly & Warranty

“Factory Crated” Condition

Unless otherwise specified, Vehicles are delivered “Factory Crated.” This means the Vehicle is secured in a metal frame with cardboard or wood paneling exactly as it left the manufacturing facility. The Vehicle is NOT READY TO RIDE UPON DELIVERY.

Buyer Acknowledgment: The Buyer acknowledges and agrees that assembly and pre-delivery inspection (PDI) are the sole responsibility of the Buyer. This includes, but is not limited to:

  • Installation of front wheel

  • Installation of handlebars, controls, and mirrors

  • Installation and charging of battery

  • Addition of engine oil, coolant, and brake fluid (if drained for shipping)

  • Addition of gasoline

  • Proper torque of all critical chassis fasteners

Green Bike Sale strongly recommends that a certified motorcycle technician or authorized dealership perform the assembly and safety inspection. Failure to properly assemble the Vehicle may result in serious injury or death and may void the manufacturer’s warranty.

Manufacturer’s Warranty

The Vehicle is sold with the standard, transferable Manufacturer’s Limited Warranty applicable to the model year and brand. Green Bike Sale provides no additional express or implied warranties.

Green Bike Sale expressly disclaims all implied warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Warranty service claims must be directed to an authorized dealership for the respective brand (Kawasaki, Honda, Yamaha, BMW, KTM, Ducati, Triumph, Royal Enfield, or Harley-Davidson). Green Bike Sale is not responsible for the availability or quality of warranty service performed by third-party dealerships.

Return, Refund & Cancellation Policy

All Sales Are Final

THERE IS NO “COOLING OFF” PERIOD FOR MOTORCYCLE SALES. ALL SALES ARE FINAL.

Due to the nature of motor vehicle titling, once the Manufacturer’s Statement of Origin (MSO) has been issued in the Buyer’s name, the Vehicle is legally considered a “used” or “pre-owned” vehicle, even with zero (0) miles on the odometer. Consequently, we cannot and do not accept returns or offer exchanges.

Order Cancellation by Buyer

If the Buyer wishes to cancel an order prior to the MSO being executed:

Order Cancellation by Green Bike Sale

We reserve the right to cancel any order for any reason, including but not limited to:

  • Pricing or inventory errors.

  • Suspected fraud or unauthorized payment.

  • Inability to verify Buyer information.

  • Failure of Buyer to comply with these Terms.

In the event Green Bike Sale cancels an order through no fault of the Buyer, a full refund (including deposit) will be issued.


Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREEN BIKE SALE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, COST OF SUBSTITUTE TRANSPORTATION, EMOTIONAL DISTRESS, OR PERSONAL INJURY ARISING OUT OF OR RELATED TO THE PURCHASE, USE, OR PERFORMANCE OF THE VEHICLE, EVEN IF GREEN BIKE SALE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GREEN BIKE SALE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE TOTAL PURCHASE PRICE PAID BY YOU FOR THE SPECIFIC VEHICLE GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.


Indemnification

You agree to defend, indemnify, and hold harmless Green Bike Sale, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. Your violation of these Terms.

  2. Your improper assembly, operation, or maintenance of the Vehicle.

  3. Your failure to comply with applicable vehicle registration or import laws.

  4. Any accident, injury, or property damage involving the Vehicle after risk of loss has transferred to you.


Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Green Bike Sale, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The logos and trademarks of Kawasaki, Honda, Yamaha, BMW, KTM, Ducati, Triumph, Royal Enfield, and Harley-Davidson are the property of their respective owners and are used on this Site for identification and descriptive purposes only.


Privacy

Your use of the Site and submission of personal information is governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy for information on how we collect, use, and protect your data.

Dispute Resolution & Governing Law

Governing Law

These Terms and any dispute arising out of or related to the purchase of a Vehicle from Green Bike Sale shall be governed by and construed in accordance with the laws of the State of CA , without regard to its conflict of law principles.

Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Vehicle, or the purchase transaction (whether in contract, tort, statute, or otherwise) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Waiver of Jury Trial: The parties hereby waive their constitutional and statutory rights to go to court and have a trial in front of a judge or a jury.

  • Waiver of Class Action: All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding.

  • Venue: The arbitration shall take place as agreed by the parties.

Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court. Additionally, Green Bike Sale may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent fraud.


Force Majeure

Green Bike Sale shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God; natural disasters (fire, flood, earthquake, hurricane); war; terrorism; civil unrest; labor strikes or lockouts; pandemic or epidemic; government orders, embargoes, or regulations; manufacturer production delays or recalls; or transportation carrier failures or delays.


Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.


Entire Agreement

These Terms, together with the final Purchase Order, the Privacy Policy, and any other documents expressly incorporated by reference, constitute the sole and entire agreement between you and Green Bike Sale regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

Electronic Communications Agreement (H2)

By providing your email address and phone number during the purchase process, you consent to receive electronic communications from Green Bike Sale regarding your order, including but not limited to Purchase Orders, Invoices, MSO documents, and shipping notifications. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
